Terms of Service
Effective: November 2026 · Owner & Lead Developer: Coach Keewee · Plain-English throughout: NappyPods™ is a digital directory and advertising-supported venue — do not sue the phone book. The dispute deposit, arbitration and class-action waiver, liability limits, the no-refunds policy and the non-disparagement obligation are all spelled out here, never hidden. See also the Platform Constitution, the Safety Terms and the Privacy Notice.
1. Acceptance — using NappyPods™ means agreeing
These Terms of Service ("Terms") are a binding agreement between you and NappyPods™ ("NappyPods," "the Platform," "we," "us"), owned and led by its founder and lead developer, Coach Keewee. By creating an account, making a purchase, posting a listing, or otherwise using NappyPods.com or any NappyPods™ application, API, agent surface, or subdomain (together, the "Platform"), you accept every part of these Terms — including the arbitration clause, the class-action waiver, the $20,000 non-refundable dispute deposit, and the non-disparagement obligation. Browsing the Platform also means accepting these Terms as to everything you view — this page tracks how it is read (scroll depth and time on page, §27) and records an acknowledgment before an account can be created. PLAIN ENGLISH: if you do not like these Terms, do not use NappyPods™ — close this page, do not create an account, and go find a service whose rules you like better. That is your right, and your only remedy.
You cannot use the Platform if you are under 18, if you have been previously terminated, or if a court or regulator has barred you from using services like this one. Using the Platform while blocked is a material breach.
2. Changes to the Platform and these Terms — automatic acceptance
NappyPods™ may change, suspend, or discontinue any part of the Platform — features, markets, prices, tokens, ad formats, availability, or the whole service — at any time, with or without notice. NappyPods™ may also change these Terms at any time, without prior notice and WITHOUT ANY OBLIGATION TO NOTIFY YOU — no email, no push, no in-app alert is required. The publication at /legal/terms IS the notice.
The current Terms are always published at /legal/terms. Your continued use of the Platform after any change — including simply keeping your session, account, or subscription active — constitutes your automatic acceptance of the changed Terms. If you do not accept a change, you must stop using the Platform and close your account before the change applies to you. There is no grandfathering: the Terms in force at the moment you act are the Terms that govern that act.
One structural exception, adopted so the dispute architecture stays fair: any change to §§19–21 (the dispute deposit, arbitration, and governing-law sections) takes effect thirty (30) days after the changed Terms are published, and claims arising before that date stay governed by the prior version. Every other change is effective on publication.
3. What NappyPods™ is — a digital directory and advertising-supported venue
READ THIS FIRST, because everything else follows from it. NappyPods™ is, strictly and only: (a) a digital directory — an online listing of places, experiences, services, work, events and products described by hosts, operators, vendors, promoters and advertisers; and (b) an advertising-supported venue — a place where those parties publish information and where paid, labeled placements appear. Think of the oldest and most boring technology on earth: the phone book. A phone book does not own the hotels it lists, employ the plumbers it prints, inspect their premises, or guarantee their prices. Neither do we.
NappyPods™ does not own, lease, manage, operate, clean, inspect, license, endorse, or control any listed space, service, experience, employer, event, or product. We do not employ hosts. We are not a property manager, a booking agency, a common carrier, an employer, a labor broker, a travel guarantor, or an insurer. Hosts, operators, vendors, promoters, advertisers and employers are independent third parties who are solely and completely responsible for the accuracy, legality, quality, safety, and condition of what they publish and provide.
The Platform is not the publisher or speaker of any user-provided content. To the fullest extent provided by 47 U.S.C. §230 and any equivalent law, no claim may be brought against the Platform based on user-provided content or on any good-faith decision to publish, label, rank, display, or remove it.
Platform fees are consideration for directory placement, messaging, and advertising services only. They are not a commission on, and do not scale with, the price or occurrence of any transaction between users — a request hold reserves a host's attention, and nothing more.
When a guest and a host (or any two users) deal with each other, the agreement is between them alone. NappyPods™ is not a party to that agreement, gains nothing from it beyond the fees described in §12, and carries none of its obligations.
4. Eligibility — 18 or older, one honest account
The Platform is available only to individuals who are at least eighteen (18) years old — no exceptions, even where a younger age is lawful elsewhere. Accounts, requests, reservations, tokens and ad placements may not be created or operated by or for anyone under 18. Where the law requires verified age for certain content, we use reasonable age-verification measures and may require re-verification.
One human or legal entity, one account, accurate details. You are responsible for everything done through your account — including anything done by a team member, agent, automation, or device you gave access to — and you indemnify the Platform under §16 for it. Impersonation, fake listings, bot-registration, and second accounts to evade enforcement are prohibited and are grounds for immediate termination.
Verification and Proof of Humanity. The Platform may offer verification through third-party providers, currently Gitcoin Passport (a zero-knowledge "Unique Humanity Score" aggregated from Web2/Web3 stamps you already control) — configured by the operator with a score threshold that may change at any time. VERIFICATION IS NOT A GUARANTEE OF IDENTITY: a badge means a threshold was met at a moment in time, nothing more. We do not warrant that any verified member is the person they claim to be, that any provider’s scoring is accurate or uninterrupted, or that verification will be offered, sustained, or applied uniformly; providers act independently of the Platform and their availability, methods and terms are theirs (§8, §10). One Passport (or equivalent provider credential) verifies one account; sharing, pooling, renting, or otherwise syndicating a verification across accounts is fraud on the Platform and grounds for immediate termination and token forfeiture. We store NO biometric data and NO identity documents from this track — only non-PII references (salted hashes, scores, timestamps). We may refuse, suspend or revoke any verification at any time, and nothing here creates any duty to verify anyone.
5. Accounts, security, your content, and your data
You keep your credentials secret and your contact details current. Notify us immediately at the in-app support channel if you suspect unauthorized use; we will act with reasonable diligence, but we are not liable for losses caused by someone using your account with or without your permission.
You keep ownership of what you upload. You grant NappyPods™ a worldwide, royalty-free, sublicensable license to host, store, reproduce, adapt, display, and distribute your content solely to run, promote, and advertise the Platform — including in newsletters, digests, push notifications, and sponsored formats that your account settings allow. You are solely responsible for your content: its accuracy, its legality, and the rights you hold in it. We may remove any content at any time for any reason, including moderation, law, or taste.
Data and privacy. NappyPods™ collects and processes account details, listings, messages, token ledgers, device and usage data, and notification tokens to operate, secure, and advertise the Platform. Our data practices, retention approach, and your rights are described in the Privacy Notice at /legal/privacy, which is part of these Terms. Data incidents affecting personal information are disclosed as required by applicable law. Nothing in this section creates a duty to retain any data beyond what we choose to keep.
Passkeys (WebAuthn / FIDO2). Where offered, you may sign in with device-bound passkeys — Face ID, Touch ID, fingerprint, Windows Hello or device PIN. The cryptographic private key NEVER leaves your device’s secure enclave; the Platform stores only the corresponding public key and metadata, and can never recover, export, or use it. YOU are solely responsible for the devices and biometrics/PINs you enroll: if you lose the device or its unlock, your passkey is gone — keep your password and recovery email current, because account recovery without working credentials may be impossible or slow, and the Platform is not liable for any loss caused by a device you no longer control. Adding a passkey to a device is your decision; using it means you accept these terms for that device. Removing all passkeys and your password access is your risk, not ours.
6. Termination — we may end any account, any time, any reason, no notice
NappyPods™ reserves the right to terminate, suspend, limit, or kick out any account — and to refuse service to anyone — at any time, for any reason or no reason, with or without notice, and without liability. Examples (a list, not a limit): violating these Terms; conduct we believe is unsafe, fraudulent, defamatory, harassing, or harmful to the Platform's reputation or operation; fraudulent chargebacks; legal requests; inactivity; or our simple business judgment.
If your account is terminated, the license to use the Platform ends immediately. Your outstanding token balance, ad campaigns, listings, and messages may be frozen or deleted. The following survive termination and account closure: §§3, 5, 8–11, 12 (no refunds), 13, 16, 19–23 — as do any provisions that by their nature should survive. You may stop using the Platform and close your account at any time; closure does not earn a refund (§12).
7. Acceptable use, agents and AI systems
No unlawful, harassing, threatening, defamatory, or fraudulent activity. No scraping that ignores rate limits, robots directives, or authentication. No attempts to circumvent safety, moderation, payment, or ad systems. No recording or photographing of guests or hosts without consent. No discrimination in hosting, hiring, or selling where the law forbids it.
Hosts must comply with every law, registration, tax, permit, insurance requirement, and safety code that applies to short-term rentals, hospitality, employment, vending, or events in their jurisdiction. Employment law, wage law, and tax obligations for anything booked or hired through the Platform belong to the parties, never to NappyPods™.
Automated agents, scrapers and agentic surfaces operate only under the Agent Policy published at /llms.txt (the version in force when the agent acts governs that act, and it is part of these Terms). Every agent acts under the authority of the account that provisioned it: the account owner is fully responsible for each agent's queries, content, transactions and spend. Agents must identify themselves as automated, must not publish listings, reviews or messages that a reasonable person would read as human-authored, and must not transact on a human's behalf without that human's authority.
NappyPods™ makes no representation that any AI output — the Coach assistant or otherwise — is accurate, current, or fit for any use; treat every output as unverified machine-generated text and confirm with a qualified human before acting. The Coach AI assistant is governed by the dedicated Coach Terms at /legal/coach, which are part of these Terms.
8. Liability — do not sue the phone book (disclaimers & limits)
READ THIS SECTION CAREFULLY; it is the heart of the deal. To the maximum extent permitted by law:
(a) AS-IS, NO WARRANTIES. The Platform — including every listing, review, map, feed, message, ad, and AI feature — is provided "as is" and "as available," with all faults, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, or that any listing is real, safe, lawful, or correctly described.
(b) WE DO NOT VET. NappyPods™ does not investigate, vet, verify, screen, inspect, certify, or guarantee any user, host, guest, vendor, employer, listing, space, or transaction. A "Featured," "Reviewed," or "Operator-checked" mark means only that a listing passed a content-policy check when it was displayed; it is not an inspection, certification, or endorsement, and the Platform does not represent that it has met, interviewed, or verified any listed person. You deal with third parties at your own risk.
(c) DIRECTORY & VENUE. Because the Platform is a directory and advertising venue (§3), any claim about a listed space, service, price, product, job, or event belongs — legally and practically — against the third party who listed or provided it, not against NappyPods™. Do not sue the phone book: we carry no responsibility for what the listings contain or how the parties perform.
(d) THIRD-PARTY INFRASTRUCTURE & OUTAGES. The Platform depends on third parties it does not control: Cloudflare and other CDNs/DNS providers; hosting and cloud providers; AI swarms, model providers and inference networks; third-party APIs, mapping, weather, payment, email and push services; regional blackouts and power failures; network drops, ISP failures, fiber cuts, and routing changes; browser and device quirks; and platform outages, maintenance windows, and capacity limits. A service interruption — of the Platform itself or of any provider it relies on — never creates liability beyond the cap in (f). During any interruption, the Platform's only obligations are to use commercially reasonable efforts to restore service and, where paid advertising impressions go undelivered, to re-credit the undelivered impressions (their delivery is the purchased good). Except for that re-credit and whatever (g) preserves, there is no downtime credit, refund, or other compensation of any kind unless we expressly say so in writing.
(e) NO CONSEQUENTIAL DAMAGES. NappyPods™ is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages of any kind — lost profits, lost revenue, lost data, lost goodwill, missed travel, missed work, emotional distress, or personal inconvenience — even if we knew the risk.
(f) CAP. NappyPods™' total aggregate liability for any claim relating to the Platform is limited to the greater of (i) the total service fees you actually paid to NappyPods™ — not hosts, not vendors — in the twelve (12) months before the act or omission giving rise to the claim, or (ii) USD $100. Multiple claims cannot expand the cap. You acknowledge these caps are a material basis of the bargain.
(g) NON-EXCLUDABLE LIABILITY. Nothing in these Terms limits liability that cannot lawfully be limited — including liability for death or personal injury caused by negligence, fraud, or any other liability the law does not permit us to exclude. This section applies to the maximum extent the law allows, and only to that extent.
(h) FRIVOLOUS CLAIMS — FEE SHIFTING. A claim filed in bad faith, without a good-faith legal basis, filed before the §19 deposit clears, or filed as (or as part of) a mass-arbitration batch prohibited by §20 is a frivolous claim. For every frivolous claim, the filer reimburses NappyPods™ — and, where applicable, Coach Keewee personally — all costs of responding: attorneys’ fees at prevailing Dallas County market rates, arbitration-provider fees, filing costs, and the internal cost of the response at $350/hour. This subsection is a contractual prevailer-fee provision; it applies on top of any fee award a court or arbitrator may order, and the §19 deposit is applied first against it.
9. Inter-user disputes — keep it between the parties
Every dispute between users — guest vs. host, applicant vs. employer, buyer vs. vendor, ticketholder vs. promoter — is entirely between the involved parties. NappyPods™ is not a party, not an arbiter, not an insurer, and not a collection agency. Refunds, damages, cleanliness, safety, noise, canceled events, wage claims, and every similar disagreement start and end with the people involved.
Because the Platform is a venue (§3), claims arising from another user's conduct — the accuracy, safety, legality, or performance of their listings, services, or payments — belong against that user. You release NappyPods™, its owner (Coach Keewee), and its officers, operators, and agents from liability for other users' acts and omissions.
ASSUMPTION OF INHERENT RISK. You voluntarily assume the inherent risks of meeting and transacting with strangers, entering spaces you have not inspected, and traveling to unfamiliar places; those risks belong to you alone, and the decision to meet, stay, or pay is yours.
KNOWN AND UNKNOWN CLAIMS (CALIFORNIA). If you are a California resident, you expressly waive California Civil Code §1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, must have materially affected his or her settlement with the debtor or releasing party."
We may, as a courtesy and never as a duty, offer in-app reporting and moderation tools. Using them creates no promise of intervention, investigation, or outcome, and no standard of care. This release does not cover liability arising from the Platform's own fraud or willful misconduct, or anything the law does not permit to be released.
10. Availability, interruptions, data loss and third-party services
The Platform may be unavailable, degraded, slow, or wrong at any time for any reason — planned maintenance, capacity, bugs, attacks, provider failures, or causes beyond our control (force majeure: acts of God, weather, war, labor disputes, governmental action, pandemics, blackouts, internet backbone failures, and everything else no reasonable business can control).
Interruptions to third-party services the Platform relies on — including Cloudflare, hosting providers, AI swarms, third-party APIs, payment processors, email and push delivery networks — are not NappyPods™' responsibility, and their failures are not NappyPods™' failures. We will use commercially reasonable efforts to restore service, and (subject to §8(d)'s ad re-credit and §8(g)) that is the whole promise.
DATA LOSS, IN PLAIN ENGLISH: the Platform stores your content (listings, photos, messages, drafts, uploads, schedules) with commercially reasonable care — but storage is not a warranty. Keep your own copy of anything you cannot afford to lose. We are not liable for lost, corrupted, or unrecoverable data caused by outages, attacks, provider failures, account termination, storage faults, or your own mistakes (deleting a listing, missing a renewal, losing device access). Deleted content may be unrecoverable immediately and permanently. If we do restore something as a courtesy, that is goodwill — never an admission of duty and never a promise we will do it again.
A service interruption or data incident never creates liability beyond the cap in §8(f), and (subject to §8(d)'s ad re-credit and §8(g)) never creates a refund, credit, or compensation obligation unless we expressly say so in writing.
11. Off-platform ("offline") payments — your sole risk
NappyPods™ provides the connection. Some hosts, vendors, or users may propose paying or getting paid outside the Platform — cash, wire, app-to-app transfer, an invoice "on letterhead," or any method off our checkout. NappyPods™ neither processes nor polices those transactions, and takes no fee from them.
Any payment or transaction you make off the Platform is taken at your SOLE AND ABSOLUTE RISK. Off-platform payments are not covered by platform records, platform mediation, platform refunds (there are none anyway — §12), or platform fraud controls. A "management company" or "host" that emails you an off-platform invoice after you book is exactly the pattern our Safety Center warns about: verify, or do not pay. If an off-platform deal goes wrong — fraud, no-show, overcharge, identity theft — the dispute is between you and the other party, and your remedies are against them alone. NappyPods™ has no liability for any off-platform transaction, and marking a payment in the platform ledger is a bookkeeping entry, not a verification that money moved.
12. Fees, tokens and the no-refunds policy
NO REFUNDS. All purchases on the Platform are final: there are no refunds, credits, or reversals issued by NappyPods™ on any digital purchase, platform token, ad placement, campaign spend, boost, listing fee, subscription, or service fee — in whole or in part, for any reason, including account termination (by you or by us), downtime (§10), dissatisfaction, or unused balance. Your chargeback and card-dispute rights under card-network rules are between you and your bank; exercising them fraudulently is grounds for termination. Where the law of your jurisdiction grants a mandatory withdrawal or refund right that cannot be waived, that right applies only to the extent the law requires.
To cancel a subscription: use the cancellation control in Settings (effective at period end) — canceling stops all future charges. Cancellation is never gated behind contacting support.
Tokens are a prepaid platform currency — attention credits, not money. Purchased tokens fund reservations, requests, boosts, tips and ad spend. Promotional and granted tokens hold no cash value and cannot be redeemed for cash. A request hold (200 tokens) reserves attention and auto-releases when the host never views it; a viewed request converts. The same rule governs Haggle offers: opening a price negotiation holds the operator’s initial-request token amount (200 by default) from your wallet; the hold is RELEASED when the host declines, you withdraw, or the offer expires, and is captured when a host engages (counters or accepts). Holds are attention credits, not charges, and hold behavior — amounts, release rules and availability — can change at any time. Token prices, exchange features and availability can change at any time.
The Nappy Shop is USD-only and fulfilled by partner suppliers; transit windows are estimates. The Platform records payments for bookkeeping only — it never holds or moves user funds, operates no escrow, and pays no one (§13).
13. Nobody gets paid by NappyPods™
Stated plainly, because this is the part people assume wrong: no user of NappyPods™ is paid by NappyPods™. Job seekers do not get paid on this platform — applying is free, and any wage a listing shows is what the employer says the work pays, not money from us. There are NO payouts to hosts and operators at all, and none to vendors, experience providers, event promoters or advertisers either: no payouts, wages, reimbursements, withdrawals, or cash-outs leave NappyPods™ to any account, ever.
There is no escrow. NappyPods™ operates no escrow accounts, holds no funds for any user, and never takes custody of money that belongs to a host, seeker, vendor, promoter or advertiser. "Marked" payments are ledger entries the parties control — not guarantees that funds moved. Card and USDC flows the Platform itself charges (token purchases and platform fees) are processed by our payment processors or the x402 v2 challenge/settle protocol; card data never touches our servers.
14. Advertising, communications and opt-outs
The Platform is advertising-supported and runs at a high advertising density by design: sponsored banners, in-feed sponsored cards, sponsored rail slots, newsletter ad placements, digest placements and interstitial moments appear across discovery, maps, the Shop, MetroStreams, email and push. Every paid placement is labeled ("Sponsored", "Ad", or the paid-partner label) on or immediately adjacent to the placement, in a size and position a reasonable user cannot miss; anything unlabeled is organic. Ad targeting is contextual and market-based; we do not sell audiences' personal information.
Advertisers and promoters must disclose any material connection (payment, free product, or affiliate relationship) in the ad itself, and must not fabricate, purchase, incentivize, or suppress reviews. Reviews on the Platform must reflect genuine experiences. We may reject or remove any ad at any time and may disclose advertiser identities to regulators where the law requires. Political advertising, where enabled, must carry a legally compliant authority line ("Paid for by …") before it can run. Ad placements are digital goods: purchased impressions are delivered as available and are non-refundable (§12).
Communications and consent. By creating an account you consent to transactional service email and, where you grant browser or OS permission, push notifications. Marketing email (digests, newsletters, campaign mail) is sent only to subscribed addresses and carries our identity, a valid physical postal address, and a one-click unsubscribe honoring RFC 8058 that is processed promptly — no later than ten (10) business days — with suppression thereafter. Push is opt-in, rate-limited, honors quiet hours, and is controllable per device in Settings or browser settings. Unsubscribe applies to marketing only: transactional account, safety and legal notices continue. Every marketing channel offers a standard single-click opt-out.
15. Mature content & feeds
The Platform may contain mature or sensitive listings. Mature content is hidden from every feed by default. Only users 18 or older who explicitly enable "Mature content" in account settings see it, and enabling it confirms you are 18+. We may restrict, blur, or remove mature content at any time, and hosts may not use the mature flag to disguise unlawful content — that is immediate termination.
The Platform is not a publisher of any user's mature content and claims all defenses available to interactive computer services, including 47 U.S.C. §230(c), except where §230(e)(5) (federal criminal and sex-trafficking law) applies. Listings offering commercial sexual services, or any content that facilitates trafficking or prostitution, are prohibited and removed. Apparent child sexual exploitation material is reported to the NCMEC CyberTipline as required by law, with evidence preserved and related accounts terminated and reported to law enforcement.
16. Indemnity — you defend us
You will defend, indemnify, and hold harmless NappyPods™, its owner (Coach Keewee), and its officers, operators, and agents against any third-party claim — a claim brought by someone who is not a party to these Terms — arising from your content or listings, your dealings or agreements with other users, your off-platform payments, your breach of these Terms, or your violation of any law; but not to the extent the claim results from the Platform's own negligence or willful misconduct.
The Platform will give you prompt written notice and reasonable cooperation; you control the defense and may not settle any claim that admits fault by or obligates the Platform without its written consent. This section survives account closure and termination (§6).
17. Intellectual property & DMCA
The Platform, its name, logo, brands, software, and design are owned by NappyPods™ / Coach Keewee and protected by law. We respond to valid notices of claimed infringement under the DMCA (17 U.S.C. §512). Our designated agent for notices: NappyPods™ Copyright Agent, Dallas, TX — reachable via the support address published in the Platform footer and registered with the U.S. Copyright Office.
A valid notice must include: identification of the copyrighted work; the URL or identifier of the allegedly infringing material; your contact information; a statement of your good-faith belief that the use is unauthorized; a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized agent; and your signature. We forward notices, may remove material, and will terminate — with notice-based record-keeping — accounts of repeat infringers.
If your material was removed by mistake or misidentification, you may file a counter-notice with the §512(g) elements, including consent to federal court jurisdiction in the Northern District of Texas; absent an infringement action within 10–14 business days, we will restore the material. Knowing material misrepresentations in notices or counter-notices make the sender liable for damages, including costs and attorneys' fees.
18. Safety & emergencies
The Platform is not an emergency service. In an emergency, call 911 (US) first, always. The dedicated Safety Terms at /legal/safety — which are part of these Terms — explain the limits of platform safety features, screening, vetting and reporting. The National Human Trafficking Hotline is 1-888-373-7888 (US); the Suicide & Crisis Lifeline is 988; the Crisis Text Line is HOME → 741741. These numbers are permanently displayed in the Platform footer.
19. Mandatory Dispute Deposit — $20,000 before any formal claim
If you intend to file a Formal Claim against the Platform, you must FIRST pay a mandatory, upfront, NON-REFUNDABLE dispute deposit of TWENTY THOUSAND UNITED STATES DOLLARS ($20,000 USD). A "Formal Claim" has the definition set out in Article V of the Platform Constitution (/legal/constitution), which controls: a formal demand, arbitration demand, or lawsuit against NappyPods™ or Coach Keewee — NOT a complaint or report to any government agency, and NOT anything you say during the §20 negotiation period.
PROCESS (per Article V of the Platform Constitution): (1) negotiate in good faith through the in-app support channel for thirty (30) days (§20); (2) if unresolved, request the deposit instructions by emailing the support address published in the Platform with the subject line "DISPUTE DEPOSIT"; (3) pay the deposit in full and state your claim in one document — what happened, when, the legal basis, the relief sought. Your Formal Claim does not proceed — no response obligation, deadline, or default arises for NappyPods™ — until the deposit is paid in full and clears. The Platform may stay its participation and seek dismissal or a stay of any claim filed before the deposit clears.
The deposit exists to keep the phone book out of court over nuisance claims — it is the platform’s anti-frivolous-litigation toll, raised from $10,000 to $20,000 in November 2026 precisely so that no one files a claim they are not willing to fund. It is NON-REFUNDABLE in every case — win, lose, or settle — because it is a processing and defense contribution, not a damages award and not a fee recovery. A claim that the Platform prevails on also triggers the fee-shifting in §8(h). Nothing in these Terms requires any deposit, fee, or permission to file a complaint with, or cooperate with, any government agency or regulator. The deposit requirement applies to every Formal Claim except (a) an individual small-claims filing squarely within that court's monetary limit, or (b) a claim where applicable law prohibits such a requirement — and then only to the extent the law requires.
20. Arbitration, anti-mass-arbitration & class action waiver
GOOD-FAITH NEGOTIATION FIRST. Before anything formal, submit your dispute through the in-app support channel and negotiate honestly for thirty (30) days. Statements made during this period are settlement discussions, not Formal Claims. Most things resolve when humans talk.
BINDING INDIVIDUAL ARBITRATION. If negotiation fails, the dispute goes to final and binding individual arbitration in Dallas County, Texas, administered by the American Arbitration Association under its Consumer Arbitration Rules, before one arbitrator, under the Federal Arbitration Act. If the AAA cannot or will not administer, the forum is JAMS under its consumer minimum standards; if neither administers, either party may petition a court in Dallas County, Texas to appoint an arbitrator under 9 U.S.C. §5. The arbitrator may award only individual relief. Judgment on the award may enter in any court of competent jurisdiction. Either party may bring an individual claim in small-claims court instead, and nothing stops either side from seeking urgent individual injunctive relief from a court.
DELEGATION. The arbitrator — not any court or agency — has exclusive authority to resolve all disputes about the existence, validity, formation, scope, and enforceability of this §20 and the §19 deposit, including any claim that any part of them is void or voidable.
NO CLASS ACTIONS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND NAPYPODS™ WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, PRIVATE ATTORNEY-GENERAL ACTION, OR REPRESENTATIVE PROCEEDING OF ANY KIND. Disputes are resolved INDIVIDUALLY, one claimant at a time, and the arbitrator may not consolidate claims or preside over any representative form.
NO MASS ARBITRATION. Mass, batched, aggregated, or coordinated filings — including the "mass arbitration" pattern of dozens or thousands of near-identical demands filed by one firm or coordinated group — are expressly prohibited. The Platform may require each claimant to proceed individually, may seek dismissal or non-administration of coordinated batches under the applicable provider's mass-arbitration protocols, and every claimant remains subject to §19.
SEVERABILITY LADDER. If the §19 deposit is found unenforceable as to any claim, arbitration of that claim proceeds under this §20 without any deposit. If the arbitration requirement is found unenforceable as to any claim, that claim proceeds in the Dallas County, Texas courts — and the class, collective, and representative-action waiver in this §20 survives independently and continues to apply to the maximum extent the law allows. This section is governed by the Federal Arbitration Act; all other disputes over these Terms are governed by Texas law (§21).
21. Governing law & venue
These Terms are governed by the laws of the State of Texas, USA, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Subject to §20, the exclusive venue for anything that lands in court is the state and federal courts sitting in Dallas County, Texas, and you consent to their jurisdiction and venue.
NappyPods™ and Coach Keewee (together with the Platform's officers, operators, and agents) are each an intended beneficiary and protected party of §§19–22: any Formal Claim or proceeding naming any of them follows those sections.
22. Non-disparagement — protect the house
Honest feedback is always welcome: you are free to give your genuine opinion about NappyPods™ — including negative reviews, low ratings, and public posts stating your real experience. Nothing in these Terms conditions your account, tokens, or service on staying silent about your honest experience.
What is prohibited — and is a material breach: knowingly or recklessly publishing a FALSE statement of fact about the Platform, its brands, or its owner and lead developer (Coach Keewee); impersonating the Platform or its staff; disclosing its confidential information; or coordinating a harassment or review-brigading campaign against any of them. This covers reviews, social posts, videos, podcasts, forums, group chats, petitions, press quotes, and agent-generated content. If you have a genuine complaint, use the provided channels: in-app reports, support, or the §§19–21 dispute process.
REMEDIES. Violating this section, at NappyPods™' election: (a) immediate termination of your account (§6); (b) FORFEITURE of your entire platform token balance and any pending ad credits, with no refund (§12); (c) removal of the offending content and a demand to cease; and (d) all legal remedies available — including injunctive relief and, where a court finds the statement defamatory, damages and attorneys' fees. Nothing in this section restricts any right protected by the federal Consumer Review Fairness Act, honest reviews, or legally protected whistleblower or government-agency reports — those rights limit this section only as the law requires, and the remedies here apply to everything the law still allows.
23. Security, cyber attacks and AI-driven threats
The internet is hostile territory, and it is getting more hostile: attackers now automate intrusion, fraud, scraping, credential stuffing, social engineering, deep-fake impersonation, and coordinated abuse with AI tools — and the Platform itself is defended, in part, by AI-assisted defenses. We invest in reasonable, industry-standard security (encrypted transport, hashed credentials, hardware-bound passkeys, rate limiting, anomaly detection, sybil-resistance scoring) — but no system on the internet is perfectly secure, and we do not promise invincibility.
IN PLAIN ENGLISH: if a sophisticated cyber attack — including one powered by AI — breaches, degrades, or takes down the Platform, that is a risk the service carries, not a promise it was never hacked. To the maximum extent permitted by law, NappyPods™ is not liable for damages caused by malicious third parties (hackers, bots, AI-driven abuse, state actors, or your own compromised devices and leaked passwords), beyond the cap in §8(f) and subject to §8(g).
YOUR PART OF THE BARGAIN: use a unique password (or better, a passkey), keep your devices patched, never share one-time codes, and tell us fast at the security address in §26 if something looks wrong. If we must take emergency action during an attack — rate-limiting, locking accounts, pausing features, resetting sessions, or rolling back data to a clean snapshot — that emergency response is part of the service, not a breach of it, and any resulting data loss falls under §10's data-loss terms.
Suspicious activity may be automatically screened and throttled by our fraud and sybil systems (KYC scoring, Passport verification, anomaly rules). A false positive can delay a transaction; it does not create liability. You can appeal through support — the systems learn, and humans review escalations.
24. Kiosks, walk-ins, vehicles and parking
WALK-INS & KIOSKS. Some hosts run self-service kiosks: you can check in, register as a walk-in, and sign on the tablet. When you sign on a kiosk — or a front desk records a walk-in with your acknowledgement — you accept these Terms, the stay's house rules, and the specific acknowledgements shown on screen. A kiosk signature (or recorded acknowledgement) is a real acceptance: it binds the same way a signature on paper would, and it is stored with a timestamp for the record.
KIOSK LIMITS, HONESTLY: a kiosk is a convenience, not a security desk. Its camera snapshot (where enabled) is a device-local visual record — never an identity check, never a background check. NappyPods™ does not verify who is standing at the kiosk; the host is responsible for their device, and you are responsible for using it honestly. If a kiosk misbehaves, the front desk — not NappyPods™ — is the party on the spot.
VEHICLES & PARKING — PARK AT YOUR OWN RISK. Where parking is offered, it is a license to park, not a bailment, lease, storage contract, or guard service. Neither the host nor NappyPods™ takes custody or control of any vehicle. To the maximum extent permitted by law, the host and NappyPods™ are NOT liable for any theft, damage, loss, or vandalism to your vehicle or anything inside it, however caused — including by other guests, strangers, weather, or faulty locks. Do not leave valuables visible; do not assume anyone is watching. Declaring a vehicle (make, model, color, plate) at check-in or on a kiosk is for operational coordination only and creates no duty of care.
TOWING & SPOT ASSIGNMENT: parking spots are assigned (if at all) by the host, on a first-come basis, and can be moved or withdrawn by the host at any time. Unauthorized vehicles may be towed at the vehicle owner's expense under the host's property rules and local law — the host's towing decision, not ours. Any dispute about a tow, a scratch, or a missing bike is a §9 inter-user dispute or a matter for the property owner and local authorities.
25. The rest of the deal
These Terms (with the Platform Constitution at /legal/constitution, the Safety Terms at /legal/safety, the Privacy Notice at /legal/privacy, and the Coach Terms at /legal/coach) are the entire agreement between you and NappyPods™ about the Platform; they supersede any earlier terms. If a court strikes one provision, the rest survive. Our failure to enforce a provision is not a waiver of it. You cannot assign your account or these Terms; NappyPods™ can assign them (or the whole business) freely. We are not liable for delay or failure caused by events beyond our reasonable control. No third-party beneficiary rights are created by these Terms EXCEPT as expressly stated — including Coach Keewee and the Platform's officers, operators, and agents as to §§19–22. Notices to you may be given in-app, by email, or by publishing to /legal/terms — each is effective on publication or dispatch.
26. Contact
NappyPods™, Dallas, TX. Owner & Lead Developer: Coach Keewee. In-app: Settings → Contact & support. Security reports: use the responsible-disclosure address published in the Platform security page. Formal Claims: §19 deposit first — no deposit, no proceeding.
27. Plain English — if you don’t like these Terms, leave
Here is the whole deal in plain English, without a lawyer in the room. NappyPods™ is a phone book with ads. We are not responsible for the places, people, gigs, or things listed on it, we do not promise the service will always be online, we keep $20,000 up front before anyone drags us into a formal legal fight, and we can change these rules whenever we need to without telling you personally.
If reading that makes you angry, you do not need a lawyer — you need a different website. Close the tab. Delete your account if you have one. There is the door, and it is always unlocked: no hard feelings, no exit fee, no penalty. What you are NOT allowed to do is stay, use the service, and then claim you never agreed. Staying IS agreeing (§1).
28. Reading record — how this page is read is recorded
Mechanics, plainly: when you open /legal/terms, the Platform records how the page is read — scroll depth (how far you actually got), time on page, and the timestamp of any acknowledgment you make. Before a new account is created, and whenever the Platform asks you to confirm a version of these Terms, the stored acknowledgment includes that reading record alongside the version identifier, timestamp, and account/session identifiers. The record exists to protect BOTH sides: it is how a reader proves they honestly engaged with a given version, and how the Platform defends against a "I never saw that clause" claim.
The reading record is an audit artifact: it is kept with the acceptance ledger, it is not advertising data, it is never sold, and it follows the Privacy Notice (/legal/privacy). Using the Platform with reading-audit suppression (scripts that fake scroll or dwell events) is a material breach of §6.
Read & acknowledged
Before you go — confirm the read
These Terms take effect November 2026 and apply the moment you use the Platform. The reading record (§28) notes how far you scrolled and how long this page was open — it protects you as much as it protects the Platform. Don't like the deal? The door is the back button (§27).
Keep scrolling to the end and give it 0:15 — the acknowledgment unlocks when both are done.
